Terms and conditions
The plain-language terms for working with us: what you get, what you own, and how we keep it fair on both sides.
These terms
These terms apply to our proposals and to any project we build together. When you accept a proposal or ask us to start, you agree to them.
If a signed proposal or statement of work says something different, that document wins for that project.
Proposals
Every project starts with a brief and a proposal. The proposal sets out the scope, a fixed total cost, and the monthly figure over 12, 24 or 36 months.
A proposal is valid for 30 days unless we say otherwise. Nothing is booked until you accept it in writing.
Lease to own
Our main model is lease to own. You pay a monthly fee while the system is built and run, and at the end of the term the software is yours.
Every engagement starts with a first payment at signing, which counts towards the project cost. The rest is paid in milestones if you pay on delivery, or as a fixed monthly fee over the lease term. There is no subscription that never ends.
What you own
You own what we build. Once the agreed fees are paid, the rights in the software and brand work we deliver for you transfer to you.
Third-party services and open-source components keep their own licences, and anything we reuse across clients (our general tools and know-how) stays ours. We will always tell you which is which.
Payment
Monthly fees are invoiced as set out in the proposal. Invoices are due within 14 days.
If an invoice is overdue we may pause work until it is settled. Prices are excluding VAT unless stated.
Changes
If the scope changes, we agree the effect on cost and timing with you in writing before we carry on.
Confidentiality
Both sides keep each other's non-public information confidential and use it only to run the project.
With your permission, we may show the finished work in our portfolio.
Warranties and liability
We build with care and senior oversight. Beyond that, the work is provided without implied warranties.
Our liability for any claim is limited to the fees paid for the work it relates to, and we are not liable for indirect or consequential loss such as lost profit or data. Nothing here limits liability that the law does not allow us to limit.
Ending an engagement
Either side can end an engagement with the notice set out in the proposal. Fees for work already done, and for the remaining lease term where agreed, stay due.
Governing law
Dutch law applies to these terms and to our work together. Any dispute goes to the competent court in the Netherlands.
